Terms and conditions of use

These terms and conditions of use define the conditions for accessing and using the site https://www.common-link.org/ and the services offered by CommonLink.
1. Definitions
In these terms and conditions, the terms below have the following meaning:
CommonLink : CommonLink: the company CommonLink, SAS, registered with the RCS of Antibes under number 105 153 928, whose registered office is at 1047 Chemin des Impiniers, 06220 Vallauris, France.
Site : Site: the website accessible at https://www.common-link.org/.
Plateforme : Platform: the digital environment offered by CommonLink enabling beneficiary organisations to present fundraising campaigns and donors to make, track and document their donations.
Utilisateur : User: any person accessing the Site or using CommonLink services.
Donateur : Donor: any person making a donation for the benefit of a beneficiary organisation via the Platform.
Organisme bénéficiaire : Beneficiary organisation: any association, foundation, endowment fund, NGO or eligible structure using CommonLink to present a campaign, receive donations or document the use of collected funds.
Campagne : Campaign: page or dedicated space for a fundraising operation presented by a beneficiary organisation on the Platform.
2. Service description
CommonLink is a donation platform enabling associations, foundations, endowment funds, NGOs and corporate donors to collect, track and document the use of collected funds, with transparency and proof-of-use mechanisms.
The Platform enables in particular:
- presentation of beneficiary organisations and campaigns;
- creation of a donor account;
- making one-off donations;
- access to a donation history;
- generation and transmission of tax receipts on behalf of beneficiary organisations, when applicable conditions are met;
- access to campaign tracking information;
- access to transparency and proof-of-use elements.
3. CommonLink's status
CommonLink is a social and solidarity economy company. An ESUS accreditation application has been submitted.
CommonLink is in the process of registering with ORIAS as an intermediary in participatory financing.
CommonLink is not a payment institution. Payment services are provided by authorised providers.
Donations are made directly for the benefit of beneficiary organisations. CommonLink does not legally collect the funds for its own account.
4. Acceptance of the terms and conditions
Accessing the Site implies acceptance of these terms and conditions of use.
To make a donation or create an account, the user must expressly accept these terms and conditions.
CommonLink may modify these terms and conditions to reflect changes to the service, regulations, technical partners or provider terms of use. The applicable version is the one in force at the time of use.
5. Access to the Site and Platform
The Site is freely accessible to any user with an internet connection. Certain features require account creation.
CommonLink may suspend, limit or interrupt access to the Site or Platform for maintenance, security, updates, force majeure or any other legitimate reason.
6. Creating a donor account
Creating a donor account is required to make a donation via the Platform.
The donor undertakes to provide accurate, complete and up-to-date information and is responsible for the confidentiality of their credentials.
In the event of unauthorised use of their account, the donor must notify CommonLink without delay at: contact@common-link.org
7. Terms applicable to donors
The Platform is intended for adults. Minors may only use the Platform with the authorisation of their legal representative.
The donor chooses a campaign presented on the Platform and makes a donation for the benefit of the relevant beneficiary organisation. Selecting a campaign results in a global allocation of the donation to that campaign.
8. Donations
Donations made via CommonLink are one-off at launch. Recurring donation features may be offered later.
Donations are made in euros. The donation is legally vested in the beneficiary organisation upon receipt, regardless of whether the displayed campaign goal is reached.
9. Payment
Payment methods offered at launch are bank card and SEPA direct debit. Payments are processed by one or more authorised payment service providers.
CommonLink does not collect, store or directly process full credit card data.
10. Voluntary contribution to CommonLink
When making a donation, the donor may leave a voluntary contribution to CommonLink. This contribution is optional and can be reduced to zero before confirming payment.
11. Fees applicable to beneficiary organisations
CommonLink charges beneficiary organisations service fees of 8% excl. VAT and payment and technical fees of 2% of donations collected, invoiced monthly.

12. Refunds
Donations are in principle final and non-refundable. A refund may however be considered in the following cases:
- double payment;
- manifest error in amount;
- fraud;
- unauthorised payment;
- cancelled campaign;
- beneficiary organisation removed from the Platform;
- exceptional situation assessed by CommonLink.

13. Tax receipts
When the beneficiary organisation is eligible, CommonLink generates and transmits tax receipts on behalf of the beneficiary organisation.
Digital certificates, NFTs or complementary proof elements do not constitute tax receipts.
14. Transparency and proof of use
CommonLink provides transparency tools to track certain financial flows and present proof of use based on recorded transactions.
CommonLink does not guarantee that every euro collected is fully traceable in all situations, and does not guarantee the final use of funds by the beneficiary organisation.
15. Terms applicable to beneficiary organisations
Beneficiary organisations wishing to use CommonLink must create an account and provide the information and documents necessary for their identification and validation.
CommonLink may validate, refuse, suspend or remove a beneficiary organisation or campaign in particular in cases of inaccurate information, KYC/KYB refusal, suspicion of fraud or legal risk.
16. Content published by beneficiary organisations
The beneficiary organisation grants CommonLink a non-exclusive, royalty-free, worldwide licence to host, reproduce and distribute content transmitted for the purposes of the service.
17. Termination and suspension of beneficiary organisations
The contract between CommonLink and the beneficiary organisation is concluded for an indefinite period. Either party may terminate with 30 days' notice, subject to the processing of ongoing transactions.
CommonLink may immediately suspend a beneficiary organisation's access in cases of fraud, false information or legal risk.
18. User obligations
The user undertakes to use the Site and Platform in accordance with the law and these terms. It is in particular prohibited to use the Site for fraudulent purposes, to impersonate an identity, to disrupt the Site's operation or to circumvent security measures.
19. Intellectual property
The Site, the Platform, the CommonLink brand and all content published by CommonLink are protected by applicable intellectual property law. Any unauthorised reproduction or exploitation is prohibited.

22. Availability and security
CommonLink implements reasonable measures to ensure the Site functions correctly but does not guarantee continuous or error-free availability.
23. Limitation of liability
CommonLink does not guarantee the success of a campaign or the final use of funds by the beneficiary organisation. CommonLink shall not be liable for indirect damages or malfunctions attributable to third-party providers.
24. Force majeure
CommonLink shall not be liable for non-performance resulting from force majeure or an event reasonably beyond its control.

26. Applicable law
These terms and conditions are governed by French law. For disputes between CommonLink and a professional beneficiary organisation, jurisdiction is attributed to the commercial court of Antibes, unless a mandatory rule provides otherwise.
